These Terms of Service ("Terms") govern your access to and use of Modelux, an LLM control plane operated by Modelux, Inc. ("Modelux", "we", "us"). By creating an account, using the Service, or clicking "I agree", you agree to these Terms on behalf of yourself or the organization you represent.
1. The Service
Modelux provides a managed control plane that routes HTTP requests from your applications to third-party large-language-model providers ("Providers") such as OpenAI, Anthropic, Google, Azure, AWS Bedrock, Groq, and Fireworks. You provide your own Provider credentials; Modelux uses those credentials solely to fulfill the requests you route through us.
The Service also includes a dashboard, management API, analytics, logs, budget enforcement, webhooks, and tools for configuring routing policies. References to "the Service" include all of these components.
2. Accounts
2.1 Eligibility
You must be at least 16 years old to create an account. If you create an account on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2.2 Account Security
You are responsible for keeping your account credentials, API keys, and management tokens confidential. Notify us promptly at security@modelux.ai if you suspect unauthorized access.
2.3 Team Members
Organization owners may invite team members and assign roles (owner, admin, member, viewer). Owners are responsible for their organization's use of the Service and for actions taken by their team members.
3. Your Content and Provider Traffic
3.1 Ownership
You retain all rights to the inputs you send through the Service ("Inputs") and to the outputs Providers return in response ("Outputs"). Modelux does not claim ownership over either.
3.2 License to Operate
You grant Modelux a limited, non-exclusive license to process Inputs and Outputs solely to operate the Service: routing requests, computing costs, generating analytics, triggering webhooks, and storing request logs per the retention windows associated with your plan.
3.3 No Training
Modelux does not use your Inputs, Outputs, or request logs to train, fine-tune, or evaluate any machine-learning model, whether our own or a third party's.
3.4 Provider Terms Control Provider Behavior
Once a request reaches a Provider, that Provider's terms, acceptable-use policy, and data-handling practices govern. We recommend you review each Provider's policies directly. Modelux is not responsible for content Providers generate.
4. Acceptable Use
You agree not to use the Service to:
- Violate any law, regulation, or third-party right.
- Generate or distribute malware, phishing content, spam, defamatory material, or content depicting child sexual abuse.
- Attempt to gain unauthorized access to the Service, other customers' data, or any Provider's systems.
- Circumvent rate limits, quotas, retention windows, billing, or security measures.
- Reverse-engineer or scrape the Service except where expressly permitted by law or a written agreement with us.
- Use the Service to build a directly competing LLM-gateway offering.
You are also bound by each Provider's acceptable-use policy for traffic you route to them. A violation of a Provider's policy may result in that Provider terminating your credentials; Modelux will not be responsible for resulting service disruption.
5. Provider Credentials ("BYO Keys")
Modelux is a "bring-your-own-keys" platform. You supply API keys and, where applicable, IAM credentials for each Provider you want to use. We store these credentials encrypted at rest and transmit them only to the corresponding Provider. You remain the principal account-holder with each Provider and remain responsible for their fees and their terms.
6. Plans, Billing, and Taxes
6.1 Plans
Modelux offers Free, Pro, Team, and Enterprise plans. Plan features and request allowances are described at modelux.ai/pricing.
6.2 Billing
Paid plans are billed monthly in advance in US dollars via Stripe. You authorize us and Stripe to charge your payment method on each billing date until you cancel. Subscription fees are non-refundable except where required by law. Annual billing, if offered, may be pro-rated on cancellation at our discretion.
6.3 Overages
If your monthly request count exceeds your plan's allowance, we may (a) send you notice and a grace-period buffer, (b) suggest an upgrade, or (c) after repeated overages in consecutive months, move you to the next tier. We do not charge per-request overage fees unless you've explicitly opted into such a policy.
6.4 Taxes
Prices are exclusive of taxes. You are responsible for applicable sales, use, VAT, GST, or similar taxes, which we will collect where required.
6.5 Price Changes
We may change prices with at least 30 days' notice. Changes take effect on your next billing date after the notice period.
7. Availability and Support
We aim for high availability but do not guarantee uninterrupted access. Scheduled maintenance, Provider outages, network issues, and force-majeure events may affect availability. Response-time commitments apply only to Enterprise plans under a separate SLA.
8. Privacy and Data Handling
Our handling of personal data is described in the Privacy Policy, which is incorporated into these Terms. Request logs are retained per the retention window in your plan (7 / 30 / 60 / 90+ days for Free / Pro / Team / Enterprise). Enterprise customers may negotiate custom retention.
9. Intellectual Property
The Service, including its software, design, and documentation, is owned by Modelux, Inc. and protected by copyright and other intellectual-property laws. We grant you a limited, non-transferable license to use the Service during your subscription. The "Modelux" name and logo are our trademarks; do not use them without our written permission.
Feedback you send us is provided voluntarily and may be used by us without obligation to you.
10. Suspension and Termination
You may cancel your account at any time from the dashboard. Cancellation takes effect at the end of the current billing period.
We may suspend or terminate accounts that (a) violate these Terms or our acceptable-use policy, (b) threaten the security or stability of the Service, (c) have unpaid amounts outstanding, or (d) are required to be suspended by law. Where practicable, we provide prior notice.
On termination we will cease providing the Service and begin data deletion per Section 11.
11. Data Deletion
Upon account deletion, we remove or anonymize customer data within 30 days, except: (a) data we are required to retain by law, (b) backups that are purged on their normal rotation (up to 30 additional days), and (c) aggregated metrics that cannot reasonably be tied back to you.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT PROVIDER OUTPUTS ARE ACCURATE, SAFE, OR SUITABLE FOR YOUR USE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODELUX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOST PROFITS; LOST REVENUES; LOST DATA; OR BUSINESS INTERRUPTION; ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
Some jurisdictions don't allow the exclusion or limitation of certain damages; in those jurisdictions the above limitations apply to the maximum extent permitted.
14. Indemnification
You agree to defend, indemnify, and hold harmless Modelux and its affiliates, officers, and employees from any claim or demand arising out of (a) your Inputs, (b) your violation of these Terms, (c) your violation of any third-party right, or (d) your use of the Service in a manner that violates applicable law.
15. Dispute Resolution
Any dispute arising under these Terms will first be addressed through good-faith negotiation. If unresolved within 30 days, disputes will be submitted to binding arbitration administered by a reputable arbitration body in the jurisdiction where Modelux is incorporated, except that either party may bring an action in small-claims court or seek injunctive relief in any court of competent jurisdiction.
16. Governing Law
These Terms are governed by the laws of the jurisdiction in which Modelux, Inc. is incorporated, without regard to conflict-of-laws provisions. Exclusive venue for any court action is the state or federal courts located in that jurisdiction.
17. Changes to These Terms
We may update these Terms from time to time. Material changes will be announced by email or dashboard notice at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance.
18. Miscellaneous
These Terms, together with the Privacy Policy and any order form or DPA we've signed with you, constitute the entire agreement between you and Modelux regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Neither party may assign these Terms without the other's consent, except that either party may assign to an affiliate or in connection with a merger or sale of assets.
